Anthropic filed to go public on Monday, Oct. 26. CEO Dario Amodei has pledged 80% of his Anthropic shares to charity, the filing shows. The filing says the pledges are not legally binding.
What the filing shows. Amodei owns about 240.6 million shares outright. He also has a vote on 4.6 million more shares through voting proxies. Each of the seven co-founders owns more than 200 million shares. Each one pledged 80% of their shares to charity, according to the filing and CNBC.
The catch. A pledge is a promise, not a gift. The filing calls the pledges “voluntary, revocable expressions” of each co-founder’s plans. It says they “do not constitute legally binding obligations.” The timing, amounts and who gets the money are not set, the filing says.
Why he says he pledged. The pledge is not new this week. Amodei first wrote about it in an essay on Jan. 26. In it, he said “wealthy individuals have an obligation to help solve this problem.” He meant the workers and families who could be left behind by AI, CNBC reports.
How the gift works. Amodei plans to give through donor-advised funds, CNBC reports. These are charity accounts run by a public charity. A donor puts in shares now and picks the grants later. The filing names two of these funds, Daffy Charitable Fund and Dechomai Asset Trust. They take share gifts from Anthropic and its stockholders. Amodei can vote certain shares those funds hold, the filing shows. Shares he or his family give do not count. CNBC reports the vote rule may stir debate among charity experts. Anthropic also matches share gifts from its staff, the filing says.
The votes. A pledge does not mean giving up control. The seven co-founders keep 50.1% of the votes through a group called Founder LLC, the filing shows.
What comes next. CNBC reports the stock sale is expected next month. CNBC also reports Anthropic could be valued at more than $1 trillion. Anthropic has not set a price in the filing.
